We Structure Our Deals to Cater to You

All our deals are structured to cater to you. We get connected and you tell us about your needs. We figure out the best deal structure for you and we issue a Letter of Intent (LOI) to you.

Once terms in the LOI are finalized, we proceed to diligence the business, perform a quality of earnings analysis on your accounts, and issue closing documents to acquire a majority stake of your business with your equity rolling into the ITSA platform level.

Post acquisition we issue ITSA stock to you through your rolled equity and to your employees through our Broad Based Employee Ownership Plan (BBEOP).

We integrate your business into the ITSA platform and absorb all the back-end functions.

As ITSA grows through both organic and inorganic means, you and your employee stock value grows. We all win together.

What changes post acquisition?

• Not much. We want to ensure a smooth transition.
• We take all finances off your plate.
• We onboard you onto our PEO to integrate HR.

Will there be changes to the team?

• No. You and your team have gotten your business to where it is today. We need all of you.

Who pays the bills?

• We do. You no longer worry about vendor payments or invoicing.

How do my employees get paid?

• Through our payroll service.
• We have each employee execute our platform employee agreements as well.

How do my employees get ownership?

• Through our Broad Based Employee Ownership plan detailed in their employment contract.

What benefits do me and my employees get?

• All full-time employees have access to all our benefits through JustWorks including medical, dental, vision, HSA and 401k matching.

Who will I be corresponding with?

• With the founders of ITSA and our team who currently include; HR and Finance Managers.
